The Plain English Summary
You retain total ownership of the operational numbers, SKU logs, and supplier files you upload. We retain absolute ownership of the scheduling models, mathematical frameworks, and multi-agent AI logic that processes them. SIOP IQ is a decision-support command layer — all physical execution on your factory floor remains your operational responsibility.
1. Proprietary Rights & Anti-Reverse Engineering
The SIOP IQ software application, including all underlying logic compilation loops, single-file frontend container structures, dynamic Takt scheduling mechanics, Recharts dashboard visualizations, and multi-agent pipe-delimited structured prompting pipelines, constitutes the exclusive intellectual property of the Provider.
Subscriber strictly agrees not to, and shall not permit any third party to: (a) decompile, reverse-engineer, or disassemble the client-side JavaScript bundle; (b) scrape, extract, or clone structural data arrays or component interfaces; or (c) cache or duplicate the application layout to create a derivative competitive supply chain optimization platform.
2. Subscriber Data Warranties & Processing Tiers
Phase 1 Ephemeral Processing: Subscriber acknowledges that during initial data audits or sandbox testing, the software operates via local client-side browser memory allocations. The Provider does not persistently store, host, or back up these records. It is the Subscriber's sole responsibility to maintain local copies of all matching data sets.
AI Pipeline Transmission Boundaries: The Provider utilizes enterprise-grade AI engine integrations with strict Zero Data Retention (ZDR) clauses. Subscriber explicitly grants the Provider the right to transmit anonymized data payloads (such as raw news feeds and compliance files) through these secure channels to generate the S&OP executive narratives and shortage resolution logs. No customer data is ever retained for public model training.
3. Limitation of Liability & Algorithmic Support Waiver
SIOP IQ is engineered strictly as an analytical decision-support command matrix. All automated capacity calculations, Bill of Materials explosions, supplier risk grading levels, and scheduling suggestions are driven by mathematical data arrays and require independent review and validation by the Subscriber's qualified operations planners.
IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: REAL-WORLD MATERIAL OUTAGES, UNPLANNED FACTORY DOWNTIME COSTS, LABOR OVERHEAD LEAKAGE, EXPORT LAW PENALTIES, OR LOSS OF MANUFACTURING CAPACITY MARGINS ARISING OUT OF THE USE OR INABILITY TO NAVIGATE THE ANALYTICAL GRIDS.
4. The Strategic Data Audit Framework ($7,500 Terms)
The execution of a $7,500 Strategic Data Audit constitutes a flat-fee, point-in-time analytical consultation service. The Provider guarantees the delivery of an isolated, private cloud evaluation platform configured around the subscriber's data models for a fixed period of thirty (30) calendar days following data ingest validation.
Upon the conclusion of the 30-day evaluation window, access parameters will expire automatically, and all corresponding local database instances created for the audit will be securely deleted unless the contract is transitioned into an active Annual Recurring Software subscription tier.
